Real Estate Investment Firm, LLC Terms of Service

You agree that your access and use of the Foreclosure Tracking System Website and Databases provided by Real Estate Investment Firm, LLC ("REIF, LLC") is governed by the following terms and conditions.

Real Estate Investment Firm, LLC ("REIF") collects compiles and indexes information on properties in foreclosure in the state of Washington. This indexed information is provided to interested bidders (Client) and to real estate professionals only with Real Estate Investment Firm. This agreement sets forth the terms upon which the indexed information is provided to Client and defines the terms of the relationship of the involved parties.

1. No agency relationship. The parties agree that they shall have no agency relationship unless otherwise stated in a written contract but that contract is not integrated into this Agreement. Separate real estate brokerage services shall be provided by a real estate professional affiliated with Advantage Commercial Brokers, Inc.
2. No warranty relationship. The parties acknowledge and agree that (A) Real Estate Investment Firm will provide Client with compiled information about properties in foreclosure obtained from trustees, tax records and other public sources; (B) Real Estate Investment Firm does not have physical access into the properties and does not guarantee or warrant the accuracy or completeness of the information it makes available to Client; (C) Real Estate Investment Firm's services shall not include: any implied or express duty of providing the Client information about the properties' environmental factors, unpaid utilities, equitable claims, tenants, sub-prime mortgages, bankruptcies, liens that may attach to the properties, legal descriptions, all title issues including but not limited to encroachments, party holding title, easements, covenants, build ability, plats and plat planning, boundaries, lot sizes, litigation, all descriptions, all disclosures, and any material detracting factor that might be present whether or not it is hidden, unforeseen, or ascertainable. The parties acknowledge and agree that (A) Client's duties shall be and include: independently assessing any properties and features and shall seek independent advice and make their own determinations regarding the properties' environmental factors, unpaid utilities, equitable claims, tenants, sub-prime mortgages, bankruptcies, liens that may attach to the properties, legal descriptions, all title issues including but not limited to encroachments, party holding title, easements, covenants, build ability, plats and plat planning, boundaries, lot sizes, litigation, all descriptions, all disclosures, and any material detracting factor that might be present whether or not it is hidden, unforeseen, or ascertainable. To wit: Client will independently assess any properties and will seek independent advice from the appropriate professionals.
3. Fees due Real Estate Investment Firm. The parties acknowledge and agree that: (A) If Client is the successful high bidder at the Trustee Sale, Client will pay to REIF, LLC a 3% commission which is calculated at 90% of the homes current tax assessed value or a minimum amount of Three Thousand Five Hundred Dollars ($3,500.00), whichever is higher.; (B) If Client makes an offer to purchase and acquires any property in which the Client received information directly from Real Estate Investment Firm within six months after receipt of such information, at time of closing Client will pay a 3% commission which is calculated at 90% of the homes current tax assessed value to REIF, LLC; and (C) "Acquire any property" means if the Client purchases a property and obtains an ownership interest of ten percent (10%) or more, or is the actual or beneficial owner of an entity with an interest of ten percent (10%) or more in that entity, and that entity acquires any property.
4. Termination of agreement. The parties acknowledge and agree that Client or Company may terminate this agreement at any time by giving written notice. Termination will be effective immediately and will end all obligations of each party except for the Client's obligations under paragraph 3, and the parties acknowledge and agree that Client shall pay for and wholly indemnify Company for any fees and costs for any failed transactions.
5. Confidential information. Client acknowledges and agrees that all information provided on this site by Real Estate Investment Firm is for your exclusive and sole personal use. All information provided here shall be treated as confidential and may not be downloaded, distributed, re-published, misappropriated, reproduced or otherwise disseminated in whole or in part without the express written consent of Real Estate Investment Firm. As liquidated damages, Client agrees to pay the fee set forth in paragraph 3 for any property purchased by any other party with whom Client shared information from Real Estate Investment Firm, and to pay REIF's/ACB, Inc. attorney's fees and costs to enforce this Agreement.
6. Account Credentials. Any username and/or password that may be assigned to you is for your sole and exclusive use. It may not be shared with or used by any other party. We reserve the right to discontinue your access to this website with or without reason.
7. Multiple clients. Client acknowledges and agrees that Real Estate Investment Firm may provide similar indexed information on the same properties to more than one client, and that REIF's principals may purchase those indexed properties.
8. Referral fees and other fees. Client acknowledges and agrees that Real Estate Investment Firm may pay other parties' fees and costs, including referral fees. Client further acknowledges and agrees that Real Estate Investment Firm may receive referral fees if Client is referred to other parties for related services.
9. Attorney fee provision. In the event of breach of a term of this agreement, the prevailing party shall be entitled to an award of reasonable attorney fees, taxable costs, and reasonable litigation expenses.
10. No solicitation clause. Client acknowledges and agrees not to solicit the independent services of any current or recent member of Real Estate Investment Firm without the written consent of Real Estate Investment Firm, including but not limited to real estate agents, mortgage brokers, contractors, etc. As liquidated damages, Client agrees to pay the fee set forth in paragraph 3 for any property purchased by Client through soliciting the independent services of any current or recent member of REIF without the written consent of Real Estate Investment Firm, and to pay REIF's attorney's fees and costs to enforce this Agreement.
